Lawrence J. Eisenberg is of counsel to our firm. He has been practicing for over 30 years, specializing since 1984 exclusively in ERISA, pensions, executive compensation and employee benefits.
He represents all types of clients – private, public, for profit and not-for-profit of all sizes.
Larry has extensive experience regarding all matters related to tax-qualified plans, including 401(k) plans, profit sharing plans (including cross-tested, new comparability, etc.), defined benefit plans and cash balance plans.
This includes planning, design and implementation, document preparation, document review and plan terminations. He also has broad experience with employee stock ownership plans (ESOPs), including design, feasibility and implementation, as well as ESOP loan matters.
He also assists clients with IRS and Department of Labor self-correction programs (EPCRS, DFVCP, etc.), from the simple to the very complex.
Larry also has wide experience regarding non-qualified deferred compensation plans of all types, both for taxable and tax-exempt organizations, including design, compliance with Code Section 409A and funding matters. He also can prepare Form 5500 annual reports and can assist with a variety of plan testing requirements. Larry assists clients with ERISA and employee benefits considerations that arise in the context of mergers and acquisitions.
He also provides assistance to plan fiduciaries regarding ERISA compliance matters, including plan committee charters, investment policy statements and fiduciary indemnification agreements.
Larry also represents clients regarding prohibited transaction and plan asset matters, as well as equity-based compensation programs, (e.g., stock options, restricted stock, and employee stock purchase plans).
